Job Summary:



We are seeking a highly motivated and experienced Senior Governance and Compliance Professional to join our team. The ideal candidate will have a strong background in company secretarial matters, with a proven track record of managing board secretaries and company secretaries.



Key Responsibilities:



The Senior Governance and Compliance Professional will be responsible for:





  • Organizing board of directors and shareholders' meetings, ensuring timely and efficient execution of these events.

  • Handling company secretarial matters, including the filing of annual returns, renewal of business registration certificates, and preparation of standard minutes/resolutions for board and shareholders' meetings.

  • Managing corporate governance issues, ensuring compliance with relevant laws and regulations.

  • Coordinating with different units to handle KYC requests and arranging necessary filings to regulatory bodies/government departments.

  • Assessing the composition of the board of directors and its sub-committees, and ensuring the nominating, appointing, and dismissing of directors and committee members are carried out in accordance with the company's Articles of Association.



Other Job Responsibilities:



The Senior Governance and Compliance Professional will also be responsible for:





  • Managing the electronization of departmental documents and optimizing the filing system.

  • Preparing various reports according to the Head Office's request.

  • Coordinating with other teams to handle document preparation and approval processes related to restructuring projects and other ad-hoc initiatives.



Salary:



The estimated salary for this position is HKD 700,000 - HKD 900,000 per annum, depending on experience.



Required Skills and Qualifications:



To be successful in this role, the Senior Governance and Compliance Professional must have:





  • A Bachelor's Degree or above in a relevant field.

  • Hong Kong Solicitor/HKCGI or CGI membership.

  • A minimum of 3 years of PQE as a Hong Kong Solicitor or 15 years of experience as a Company Secretary.

  • Excellent communication and interpersonal skills.

  • Ability to work under pressure and manage multiple tasks simultaneously.

  • Strong analytical and problem-solving skills.

  • Proficiency in both spoken and written English, Cantonese, and Mandarin.
