Role Summary

This position is an Asia Pacific wide role covering all T. Rowe Price entities in Asia Pacific (currently located in Australia, China (Hong Kong and Shanghai), Japan and Singapore). The individual will be appointed as the company secretary or assistant company secretary of the Asia Pacific entities and be primarily responsible for all corporate governance, secretarial and related matters to ensure compliance with the applicable regulatory requirements as well as T. Rowe Price's policies. The individual will work closely with the in-house counsels as well as with external service providers that support our Singapore and Shanghai entities. The individual will report directly to the Managing Legal Counsel in Sydney and will be working closely with the Governance and Corporate Secretary team based in US and EMEA.

Responsibilities:

  • Manage all board matters including board meetings, written resolutions, appointments and resignations as well as acting as the gatekeeper for the flow of information to and from the board.
  • Effectively plan, coordinate, manage and record all board meetings. This includes ensuring that the required number of board meetings are held each year, the board pack is of high quality and provided well in advance to the directors and that minutes are finalized shortly after each meeting.
  • Prepare, coordinate and hold general meetings, in person or by written consent as required.
  • Serve as the official record keeper of all corporate records and ensure such records are accurate, complete and properly secured in repositories in compliance with regulatory requirements.
  • Coordinate the production of corporate records that may be requested in connection with litigation, regulatory inquiries, or financial audits.
  • Prepare applications and other required filings to maintain business qualifications in various jurisdictions.
  • Monitor and ensure compliance with applicable corporate regulatory requirements that relate to the role as well as staying abreast of corporate governance trends and best practices.
  • Maintain and update as required various corporate governance documents such as the company secretarial manuals.
  • Assist with onboarding and continuing education of directors on director's duties and responsibilities.
  • Support ad hoc projects and/or other legal analyst tasks (such as maintenance of the legal database and supporting the in-house counsels in contract negotiation) as may be required.

Qualifications:

Required:

  • Bachelor's degree in a relevant field or the equivalent combination of education and relevant experience.
  • 5+ years' work experience in a similar role preferably within the financial services sector.
  • Knowledge of laws and regulations pertaining to corporate governance requirements for either Australia or Hong Kong. Knowledge of corporate governance requirements in China, Japan and/or Singapore would be preferred but not essential.
  • Excellent written and verbal communication skills, including ability to draft board minutes and resolutions.
  • Must be a detail-oriented, well-organized, critical thinker with strong analytical skills and able to manage priorities and deadlines.
  • Be able to work independently but also highly collaborative with strong interpersonal skills and the ability to work effectively with team members and all levels across the organization, including executive officers.
  • Experience using document management systems (e.g., Diligent, Blueprint), a good working knowledge of standard office technology and equipment, and general office procedures.
  • Strong English language skills required. Proficiency in Mandarin and/or Japanese would be advantageous.
