Job Summary

This is an Asia Pacific wide role covering all T. Rowe Price entities in Asia Pacific, including Australia, China (Hong Kong and Shanghai), Japan, and Singapore. The successful candidate will be appointed as the company secretary or assistant company secretary of the Asia Pacific entities and be primarily responsible for all corporate governance, secretarial, and related matters to ensure compliance with applicable regulatory requirements and T. Rowe Price's policies.

Main Responsibilities:
  • Board Matters Management
    • Manage all board meetings, written resolutions, appointments, and resignations.
    • Act as the gatekeeper for the flow of information to and from the board.
  • Meeting Planning and Coordination
    • Effectively plan, coordinate, manage, and record all board meetings.
    • Ensure required number of board meetings are held each year, high-quality board pack is provided well in advance to directors, and minutes are finalized shortly after each meeting.
  • Corporate Record Keeping
    • Serve as the official record keeper of all corporate records.
    • Ensure records are accurate, complete, and properly secured in compliance with regulatory requirements.
  • Compliance and Regulatory Support
    • Monitor and ensure compliance with applicable corporate regulatory requirements.
    • Stay up-to-date with corporate governance trends and best practices.
  • Support to Directors
    • Assist with onboarding and continuing education of directors on director's duties and responsibilities.
  • Ad Hoc Projects and Tasks
    • Support ad hoc projects and other legal analyst tasks as may be required.
Requirements

To succeed in this role, you will need:

  • A Bachelor's degree in a relevant field or equivalent combination of education and experience.
  • At least 5 years' work experience in a similar role, preferably within the financial services sector.
  • Knowledge of laws and regulations pertaining to corporate governance requirements for either Australia or Hong Kong.
  • Excellent written and verbal communication skills, including ability to draft board minutes and resolutions.
  • Strong analytical skills, attention to detail, and ability to manage priorities and deadlines.
  • Ability to work independently and collaboratively with strong interpersonal skills and ability to work effectively with team members and all levels across the organization.
  • Experience using document management systems and standard office technology and equipment.
  • Strong English language skills; proficiency in Mandarin and/or Japanese is advantageous.
