Legal Counsel - VP/AVP (Leading Chinese Financial Institution) Our client is a top tier Chinese financial services institution, a leader in Asia's financial ecosystem with a commanding presence in Hong Kong SAR, Mainland PRC, and beyond. Renowned for pioneering cross-border capital markets deals, innovative structured finance solutions, and robust principal investment strategies, they are at the epicentre of transformative transactions that redefine wealth creation and regulatory excellence. As a result of their continued growth in their business, they are now looking for an experienced Legal Counsel at the VP/AVP level to join their firm, specializing in corporate finance, capital markets, and cross-border investments in the region. In this role, you will deliver expert legal advice on high-value transactions, regulatory compliance, and corporate structuring, while fostering seamless collaboration with internal teams, external counsel, and our Mainland PRC parent entity. Key Responsibilities Provide strategic legal advice and support to senior management and operational departments on corporate finance, capital markets transactions, principal investments, and structured finance initiatives, ensuring alignment with business objectives and risk mitigation. Lead corporate structuring projects, navigating both Hong Kong SAR and Mainland PRC laws and regulations to optimize entity formations, joint ventures, and investment vehicles. Manage comprehensive legal groundwork for commercial transactions, including reviewing, drafting, and negotiating key documentation such as term sheets, agreements, offering memoranda, and conducting thorough legal due diligence. Handle proactive communications and correspondence with regulatory authorities (e.g., HKMA, SFC, CSRC), auditors, counterparties, and other stakeholders to facilitate smooth deal execution and compliance. Coordinate closely with the mainland PRC parent company's legal function to maintain consistency in procedural and approval frameworks; prepare and submit regular reports, summary contract terms, and documentation for headquarters review and approvals. Collaborate with external counsel on transactional, contentious, or highly complex legal matters, overseeing workflows to ensure timely and cost-effective resolutions. Undertake additional responsibilities as needed, including developing internal training programs, updating legal procedures, precedents, and checklists to enhance operational efficiency and compliance. Qualifications Hong Kong qualified lawyer from an accredited law school 7-10 years of relevant experience in corporate finance and capital markets law, ideally within a multi-function financial institution, securities firm, investment bank, or top-tier law firm with a focus on Hong Kong SAR and Mainland PRC jurisdictions. Experience in SOE’s is a plus. Demonstrated expertise in cross-border transactions, regulatory filings, and compliance with HKMA/SFC/CSRC frameworks.
