As a Legal Counsel at Longbridge Group, you will play a critical role in providing strategic legal and commercial support with a primary focus on its Hong Kong operations, while also contributing to Group-level initiatives. You will be responsible for delivering strategic legal and commercial guidance, ensuring compliance with regulatory requirements in Hong Kong, mitigating legal risks, and supporting the company’s day-to-day operations and strategic initiatives. In this capacity, you will collaborate with local and Group functions—including compliance, finance, business teams, and other departments—to address complex legal matters in a dynamic financial industry environment. This role requires a blend of local expertise and the ability to collaborate effectively on broader Group-level matters. Key Responsibilities: Group-Level Legal Support Provide basic legal support for the group’s financing initiatives, including preparing checklists, maintaining deal files, and handling procedural matters. Assist in due diligence and document review for M&A and investment transactions, under the supervision of senior team members. Legal Advisory and Business Collaboration Advise on legal risks and opportunities related to the day-to-day business activities, including securities trading, asset management and other corporate business. Support the Legal Department in executing local and regional projects and support digital innovation initiatives and the development of digital platforms, services, and products. Support cross-functional collaboration by facilitating communication between the Legal Department and other business units to address integrated legal and business issues. Regulatory Compliance and Risk Management Advise on regulatory and licensing requirements applicable to Longbridge’s businesses in Hong Kong and Mainland China and other applicable jurisdictions as assigned. Liaise with regulators, external counsel as well as in-house compliance officers as needed. Monitor legal and regulatory updates (e.g., SFC, HKMA, CSRC circulars) and draft internal summaries or alerts for the Legal Department. Support the Legal Department in compiling responses to regulatory inquiries or audits, including document collection, filing, and basic drafting. Liaise regularly across business areas to ensure alignment of legal strategies and policies. Contract Negotiation and Documentation Draft, review, and negotiate a broad range of agreements, including client agreements, vendor contracts, commercial contracts, partnership agreements, trade confirmations, and product term sheets. Develop and maintain legal and contractual templates to standardize and streamline documentation processes. Ensure contracts are legally sound, protect the company’s interests, and comply with regulatory requirements. Litigation and Dispute Resolution Assist in instructing external counsel in litigation and dispute resolution processes, including communicating litigation strategies, preparing case summaries, chronologies, and document bundles. Monitor external-counsel invoices and maintain litigation files, ensuring pleadings and correspondence are properly stored and archived, with periodic summaries for the Legal Department. Qualifications: Bachelor of Laws (LL.B.) or equivalent law degree from a recognized and reputable institution. Licensed to practice law in Hong Kong (preferred), qualifications in the Mainland China, Singapore, US, UK or other common law jurisdictions will be a plus. 2-4 years of legal experience. Strong experience in corporate, commercial, and regulatory matters; exposure to financial services, fintech, or technology sectors is a plus. Experience at a reputable law firm is also highly valued. Preference for candidates in a securities brokerage firm, bank, or financial institution. Experienced and confident practitioner with strong legal judgment. Strong communication (written and verbal) and interpersonal skills to collaborate effectively with stakeholders. Strong analytical and problem-solving abilities, with a proactive approach to risk mitigation. Excellent negotiation and drafting skills, with the ability to handle diverse legal issues and work under pressure. Up-to-date knowledge of legal, regulatory, and market developments in the financial industry. A collaborative team player with a commercial and entrepreneurial mindset and the ability to work independently.
