Legal Counsel - Investment Bank (2-4PQE) About the Company Our client is an international investment bank with a strong presence across Asia-Pacific, advising on complex financing and strategic transactions for corporates, financial sponsors, and institutional investors. Key Responsibilities Support senior legal counsel in structuring, documenting, and executing loan and credit transactions (e.g., syndicated, bilateral, bridge, and revolving facilities). Draft, review, and negotiate facility agreements, security and guarantee documents, intercreditor arrangements, and related finance documentation, taking increasing ownership over time. Assist investment banking, leveraged finance, and corporate finance teams with acquisition finance, margin lending, fund finance, and other structured lending products. Collaborate with internal stakeholders (front office, risk, credit, compliance, operations, and tax) to ensure transactions comply with legal, regulatory, and internal policy requirements. Review and advise on term sheets, mandate and engagement letters, commitment papers, and other transaction-related documentation, escalating issues as appropriate. Monitor legal and regulatory developments affecting the bank’s lending and investment banking activities, preparing updates or guidance for business teams. Contribute to template documentation, playbooks, and process improvements, and support training initiatives for front‑office teams. Liaise with and coordinate external counsel, managing deliverables and ensuring advice aligns with internal guidance. What We Are Looking For Qualified lawyer (common law or equivalent) with 2–4 years’ post-qualification experience in banking and finance or related corporate finance work. Experience gained at a reputable international or regional law firm; in‑house experience at a financial institution is a plus but not essential. Familiarity with market‑standard loan documentation (e.g., LMA‑style) and a basic understanding of security, guarantees, and intercreditor frameworks. Interest in regulatory issues relevant to investment banking and lending (e.g., securities laws, financial services regulation, sanctions, AML), with a willingness to build expertise in these areas. Strong drafting and analytical skills, with excellent written and spoken English; additional Asian languages are an advantage but not required. Proactive, collaborative, and solutions‑focused professional, comfortable working with multiple stakeholders and managing competing deadlines.
