Key Responsibilities Draft, review, and revise various business contracts and legal documents (including but not limited to IP licensing, content production, partnership, technology, and procurement agreements). Provide daily legal advice to all departments, offering compliance guidance and risk assessments for business operations, product launches, marketing campaigns, and more. Manage and safeguard the company’s intellectual property portfolio (copyrights, trademarks, etc.), handling registrations, licensing, and protection matters. Liaise with and supervise external counsels on potential disputes or litigation. Assist in developing and updating internal compliance policies and procedures. B. Company Secretary Functions (Approx. 30%) Organize and coordinate Board, Committee, and Shareholder meetings, including notices, agenda preparation, documentation, and minute-taking. Ensure strict compliance with the Hong Kong Companies Ordinance and relevant listing rules (if applicable) regarding corporate governance and disclosure requirements. Maintain statutory records, Board resolutions, the register of members, and other key corporate documents. Assist in annual compliance filings, changes in company secretarial details, and other regulatory submissions. Requirements Bachelor’s degree in Law from Hong Kong or a common law jurisdiction; additional qualifications such as passing the PCLL or holding a professional company secretary designation (e.g., HKICS/ICSA) are highly preferred. 3–5 years of relevant experience in an in‑house legal role; candidates with combined company secretarial or corporate governance experience are ideal. Background in Technology, Media, Telecom (TMT) or entertainment sectors is a strong plus. Meticulous, highly organized, and adept at multitasking, with strong interpersonal skills to coordinate between senior management and various departments. Proactive, business‑minded, and capable of working independently in a fast‑paced, creative‑driven environment.
