JOB DESCRIPTION: CHIEF FINANCIAL OFFICER (CFO) Company: Pando Finance Location: Central, Hong Kong Reports to: Chief Executive Officer (CEO) Pando Finance is a leading Hong Kong-based financial services group operating at the intersection of traditional asset management and the digital future. Rooted in our SFC‑licensed capabilities (Type 1, 4, and 9), we have expanded our vision to build a diversified fintech ecosystem. We are looking for a visionary Group CFO to lead our financial strategy, ensuring our infrastructure is robust, scalable, and ready for the next level of corporate evolution in the global capital markets. Role Overview As the Group CFO, you will be the strategic right hand to the CEO, responsible for the financial stewardship of the entire group ecosystem. You will act as the primary liaison with capital market stakeholders, including Investment Banks, Auditors, and Professional Advisors. You will elevate our corporate governance, financial reporting, and internal controls to institutional and public market standards , ensuring the company is strategically positioned for significant corporate actions. Key Responsibilities 1. Capital Markets & Strategic Ecosystem Management Orchestrate External Relationships: Act as the primary point of contact for Investment Bankers, Financial Advisors (FAs), Legal Counsels, and Private Equity partners to support the Group's long‑term strategic goals. Financing Strategy & Structuring: Lead the design and execution of sophisticated financing structures (Debt/Equity) and deal structuring. Work closely with banks to optimize credit facilities and capital efficiency. Transaction Leadership: Lead the financial due diligence and coordination for potential corporate transactions (M&A, Restructuring, or Strategic Partnerships), ensuring commercial terms align with the Group's valuation targets. Investor Relations Strategy: Build and maintain a professional IR framework. Serve as the key spokesperson to institutional shareholders and analysts, ensuring the company’s value proposition is clearly communicated. Media & Reputation Management: Oversee financial public relations and handle media inquiries regarding corporate strategy. Ensure all external communications align with regulatory boundaries while maximizing the Group’s market reputation. 3. Financial Oversight & Audit Coordination Manage External Professional Parties: Oversee the strategic relationship with external auditors and advisors. Streamline the annual review process to resolve complex accounting or valuation issues efficiently. Consolidated Reporting: Oversee the consolidated financial reporting for the entire group, ensuring transparency and accuracy comparable to public company standards. Treasury Optimization: Optimize the group’s treasury management, including efficient capital allocation between fiat currencies and digital asset holdings. 4. Strategic Governance (Collaboration with Compliance) Strategic Risk Management: Work alongside the Compliance team (who handle daily licensing/FRR duties) to oversee high‑level corporate governance and financial risk control frameworks. Internal Controls: Establish best‑in‑class internal control systems that satisfy the due diligence requirements of top‑tier institutional investors and professional parties. Requirements Professional Background Education: Bachelor’s degree or above in Finance, Accounting, or Economics. Certification: Qualified Accountant (CPA, ACCA, or equivalent); Big 4 background is highly preferred. Experience: Minimum 10+ years of finance experience. Experience in Investment Banking, Corporate Finance Advisory, or a CFO role within a high‑growth/listed company environment is a plus. Capital Markets Network: Demonstrated experience working extensively with Investment Banks, FAs, Auditors, and Lawyers. Communication & IR: Exceptional communication skills with the ability to handle Investor Relations and Media engagements confidently. Deal Acumen: Solid grasp of deal structuring, valuation, and corporate finance transactions. Industry Knowledge: Understanding of Asset Management business models and a forward‑looking view of Web3/Digital Assets. Attributes Strategic Visionary: You see beyond the ledger—you understand how financial strategy drives valuation and brand perception. External Focus: You are comfortable representing the company externally to high‑level stakeholders.
