Job Accountabilities

Advise our applicable Sun Life Asia Investment Management colleagues and other relevant Sun Life Asia business units including investment management, operations, program management, product development, compliance, tax and finance on a wide range of securities law, regulatory and finance issues with particular emphasis on business activities relating to the Hong Kong Securities & Futures Ordinance as an SFC licensed Type 1, 4, 9 financial institution that supports multiple jurisdictions. Collaborate with and provide professional counsel to our Sun Life Asia investment management colleagues and other relevant Sun Life Asia business units with respect to negotiating a broad set of agreements (including investment management and advisory agreements, fixed income/bonds documentation, ISDAs and other derivative documentation, warrant/certificate base terms, custody and fund administration agreements, brokerage agreements, subscription agreements, side letters, placement agreements, markets account opening documents, intercompany and other service agreements etc) while supporting commercial objectives Play a proactive role in providing legal advice to the product development team in relation to the establishment, structuring and the ongoing maintenance of investment vehicles and working closely with stakeholders and external counsel (as necessary), including the review of fund documentation and legal agreements to ensure all operational, legal, sustainability and regulatory requirements are fulfilled Supervise company secretarial matters relating to the Type 1, 4, 9 financial institution, including drafting agenda and board and shareholder meeting minutes, and liaising closely with the appointed company secretary for regular regulatory, governmental and other necessary filings and maintaining the statutory books. Collaborate with the in-house counsel investment management teams in the Asia region and globally on cross-border investment matters to ensure alignment and consistency with Sun Life Group’s requirements. Work effectively with internal stakeholders (local and global) on appropriately developing policies, operating guidelines and practices to manage and comply with applicable regulatory and internal requirements.

Job Requirements

10+ years of relevant experience within an in-house legal team (ideally, an SFC licensed financial institution or asset manager) or practicing at a law firm in the relevant areas. Qualified lawyer, preferably in a Common Law jurisdiction (Hong Kong preferred) Possesses expertise with securities and insurance law, regulatory and financial services issues with particular emphasis on business activities relating to the Hong Kong Companies Ordinance and Securities & Futures Ordinance. Demonstrates ability to synthesize legal knowledge and understanding of business objectives to help achieve desired outcomes. Clearly communicates complex legal concepts and their implications for business goals. Must effectively use diplomacy and tact to navigate throughout a complex, international organization across Sun Life enterprise, Asia and local investment teams while developing relationships across Sun Life enterprise, Asia and local investment teams to engage and support achieving desired business outcomes. Ability to distil complex concepts into actionable advice for business units in different jurisdictions. Demonstrate ability to develop and execute innovative pragmatic solutions to complex problems. Demonstrate ability to resolve conflict in positive way, apply lessons learned to new engagements and manage constantly changing environment. Strong interpersonal skills with the ability to articulate appropriate solutions to senior management and regulators, strong commercial awareness and a positive attitude. Ability to demonstrate solid and effective project management and successful experiences leading/managing change.
