**Key Responsibilities**

  • Manage the full spectrum of company secretarial duties for our group of onshore and offshore companies, ensuring compliance with statutory and regulatory requirements.
  • Develop and maintain a standardized system for the organization and maintenance of company secretarial documents, ensuring easy access and retrieval.
  • Prepare and update corporate structure charts and control lists of corporate information, ensuring accuracy and completeness.
  • Liaise with external parties, including corporate service agents, bankers, and other stakeholders, to ensure compliance with regulatory filings, reporting, and KYC requirements.
  • Prepare and distribute board and shareholders' meeting materials, minutes, and resolutions, ensuring timely and accurate communication.
  • Assist in conducting board and shareholders' meetings, ensuring smooth and efficient decision-making processes.
  • Support the formation and closure of companies and corporate restructuring transactions, ensuring compliance with relevant laws and regulations.
  • Manage ad-hoc company secretarial projects as assigned, demonstrating flexibility and adaptability.

**Requirements**

  • Associate member of HKICS with a bachelor's degree in a relevant discipline or equivalent.
  • A minimum of 6 years of company secretarial experience in sizeable or listed companies, preferably.
  • Familiarity with company secretarial practices for Hong Kong and offshore companies, as well as corporate administration of overseas companies.
  • Hands-on experience in preparing for and organizing board, committee, and shareholders' meetings.
  • Excellent command of spoken and written English and Chinese.
  • Strong communication and presentation skills, with the ability to engage with stakeholders at all levels.
  • Meticulous, mature, and able to work independently, with a high degree of autonomy.
