Company Secretarial Assistant Manager

The Corporate Governance and Secretariat function consists of qualified legal professionals, chartered company secretaries, and high-caliber executives. We operate as a cohesive team, with a mission to deliver comprehensive and professional company secretarial services and advice to the Board, Board Committees, and Senior Management of Hang Seng Group, referencing best-in-class corporate governance practices to support the Bank in achieving long-term and sustainable success.

As a member of our function, you will have the opportunity to apply your professional company secretarial expertise and gain valuable insights into the Bank's strategic, business, and operational aspects. We are currently seeking a highly skilled professional to join our department as Company Secretarial Assistant Manager.

Key Responsibilities

· Assist in organizing and providing company secretarial support for the Bank, including contributing to agenda planning, compiling accurate and precise meeting documents, taking and drafting minutes, and coordinating logistical arrangements.

· Support the board support function and maintain relationships with both internal and external stakeholders.

· Assist in organizing and compiling accurate corporate records for Hang Seng companies, subsidiaries, and branches of the Bank.

· Manage the schedule of meetings and events for the Company Secretary, Directors, and Senior Management.

· Support and administer the corporate governance policy, including maintaining policy templates and guidance documentation, serving as the primary contact for policy-related advice.

· Assist with ad hoc assignments for the Corporate Governance & Secretariat function.

· Stay informed about changes in regulations, laws, and Listing Rules as they pertain to company secretarial and corporate governance, and develop action plans for compliance.

Requirements

· University degree in Business Management, Company Secretarial Studies, or related fields.

· Associate member of The Hong Kong Chartered Governance Institute.

· Minimum of 5 years of post-qualification experience in corporate governance and company secretarial roles.

· Previous experience in a banking environment is advantageous but not mandatory.

· Strong interpersonal communication and analytical skills, with fluency in both English and Chinese.

· High level of ownership and a service-oriented mindset, dedicated to delivering exceptional service quality and possessing the ability to think creatively.

· Proficient in computer applications, including MS Excel and Word.

· A strong sense of ownership and a service-oriented mindset to ensure efficient and effective customer service processes.
