Key Responsibilities

  • Provide legal support on key strategic initiatives across FWD Life Insurance Corporation, including mergers and acquisitions, joint ventures, bank and non-bank distribution partnerships.
  • Provide legal support on investment and capital markets related matters.

Key Accountabilities

  • Draft and review contracts relating to key strategic initiatives – including share purchase agreements, joint venture agreements, shareholder agreements, distribution agreements.
  • Draft and review ancillary documents across key transactions, including non-disclosure agreements, due diligence reports, and completion checklists.
  • Assist with mergers and acquisitions execution and completion related matters.
  • Advise internal stakeholders (including members of FWD Life Insurance Corporation's deal team) on various mergers and acquisitions transactions, strategic partnerships, and high-value initiatives across the organization.
  • Assist in capital markets / investments fundraising activities, including investment documentation, offering documentation, etc.
  • Assist in the preparation and review of materials for submission to internal FWD Life Insurance Corporation committees and board of directors.
  • Instruct and work closely with external legal counsel and financial advisers on various matters.
  • Assist in ad-hoc projects across FWD Life Insurance Corporation and other responsibilities as needed.

Qualifications / Experience

  • At least 3-5 years Post Qualified Experience.
  • Qualified in a Common Law jurisdiction, such as Hong Kong, Singapore, England & Wales, Australia, and U.S.
  • Training / experience at international law firm; in-house experience preferred but not essential.
  • Mergers and acquisitions/transactional experience required.
  • Fundraising / capital markets and related regulatory experience.
  • Commercial, IT, IP, litigation experience advantageous.
  • Prior working experience in the insurance or financial services industry preferred.

Knowledge & Technical Skills

  • Regional/cross-border experience strongly preferred including working with country legal / business teams.
  • Excellent communication and interpersonal skills are required, as there will be heavy interaction with internal and external stakeholders.
  • Must be able to work independently, make appropriate decisions, and resolve conflicts effectively, seeking guidance where required.
  • Must also be able to address complex issues in an accurate, succinct, and thorough manner.
  • Chinese language skills preferred but not required.
