Legal & Compliance Leadership Develop and own the long‑term legal and compliance strategy, ensuring it is fully aligned with and supportive of the company’s business objectives. Serve as a key strategic partner to the CEO and other C‑level executives, providing authoritative counsel on all major business decisions, risks, and opportunities. Provide regular and comprehensive reporting to the Board of Directors and CEO on the status of the legal and compliance framework, significant risks, and mitigation efforts. Establish and maintain robust corporate governance structures and processes. Provide end‑to‑end legal leadership on all corporate matters, including corporate structure, financing rounds, M&A, commercial contracts, intellectual property, employment law, and litigation. Oversee the drafting, review, and negotiation of all critical and complex commercial agreements. Proactively identify, assess, and mitigate the company’s legal and regulatory risks, developing forward‑looking strategies. Provide end‑to‑end legal and compliance support for new product launches, business initiatives, and market expansion. Build, mentor, and lead a high‑performing, agile, and motivated Legal & Compliance team. Foster a culture of integrity and “compliance by design” throughout the entire organization. Ensure ongoing and effective legal and compliance training is delivered to all employees. Compliance & Risk Management Framework Build, oversee, and continuously enhance a world‑class, comprehensive compliance management system across all jurisdictions of operation, including AML/CFT, sanctions, cyber security, data privacy, consumer protection, and market conduct. Act as the primary point of contact and relationship manager for all regulatory bodies (e.g., HK SFC, MAS, VARA). Lead all licensing applications, regulatory filings, communications, inquiries, and examinations. Ensure the company obtains and maintains all necessary licenses and approvals to operate globally. Lead the response to critical compliance incidents and crisis management scenarios. Requirements Bachelor’s degree in Law from a renowned institution. A Master’s degree or higher is a plus. Holds a legal professional qualification (e.g., Bar Admission, Practicing Certificate) in a recognized jurisdiction. Minimum of 10 years of post‑qualification experience, with at least 5 years in a senior leadership role (e.g., Director, Head of) within the legal/compliance function of a financial institution (e.g., investment bank, payment firm) or a leading technology company. Must have at least 3 years of direct experience as the primary legal or compliance lead for a licensed Virtual Asset Trading Platform/VASP, with a proven track record of successful licensing applications and direct regulatory engagement. Deep, practical understanding of the virtual asset regulatory landscape, with expert knowledge of FATF Recommendations and the VASP regulatory regimes in at least two major jurisdictions (e.g., Hong Kong, Singapore, EU, US). Exceptional strategic thinking, leadership, decision‑making, and influencing skills. Ability to navigate complex and high‑pressure situations. Outstanding communication, negotiation, and presentation skills in English, with the ability to represent the company authoritatively with regulators, partners, and investors.
