Job Description We are seeking an accomplished and strategic Venture Counsel to join our legal team at RedotPay. This pivotal role requires a mid‑level lawyer with 3‑6 years PQE to excel in a dynamic, high‑stakes fintech environment. Key Responsibilities Transaction Document Management: Oversee the end‑to‑end lifecycle of transaction documents, including drafting, reviewing, negotiating, and settling term sheets, subscription agreements, shareholders’ agreements, share purchase agreements, merger agreements, due diligence reports, and ancillary documents for secondary share transfers, series fundraising (e.g., Series B through later‑stage rounds), and cross‑border M&A deals. Deal Structuring and Execution: Lead the structuring of venture transactions, ensuring alignment with business objectives, tax implications, and regulatory compliance across multiple jurisdictions; conduct thorough legal due diligence, identify deal‑breakers, and coordinate with external advisors to facilitate seamless closings. Negotiation Leadership: Spearhead high‑level negotiations with investors, acquirers, sellers, and counterparties, advocating for RedotPay’s interests while balancing commercial pragmatism and legal rigor; resolve contentious issues such as valuation disputes, governance rights, liquidation preferences, anti‑dilution protections, and earn‑out mechanisms. Risk Assessment and Mitigation: Proactively identify, analyze, and mitigate legal, regulatory, and commercial risks in transactions, including antitrust considerations, cross‑border data transfer issues, sanctions compliance, and fintech‑specific challenges like crypto asset valuation and blockchain governance; develop contingency plans and advise on post‑closing integration. Regulatory Compliance and Advisory: Provide expert guidance on venture‑related regulations, including securities laws (e.g., SEC filings, exemptions under Regulation D), fintech licensing requirements, and international frameworks (e.g., EU MiCA, Hong Kong SFC rules); monitor evolving laws in blockchain and crypto to ensure transaction structures remain compliant and innovative. Knowledge Management and Process Improvement: Maintain and update transaction templates, precedents, and playbooks; implement best practices to streamline deal processes, drawing from law firm efficiencies. Qualifications and Experience Education: LLB or equivalent legal degree; qualified to practice law in Hong Kong, with additional qualifications in major jurisdictions (e.g., US, UK, or Singapore) highly preferred. Experience: 3‑6 years PQE as a mid‑level Associate in a leading international law firm, with substantial hands‑on involvement in venture capital, private equity, or M&A practices; demonstrated track record in managing secondary share transfers, series fundraising, and cross‑border M&A deals, ideally in fintech, tech, or blockchain sectors. In‑house experience at a high‑growth startup or fintech company is advantageous but not mandatory. Expert proficiency in corporate and securities law, with deep expertise in transaction structuring, drafting intricate agreements, and navigating multi‑jurisdictional complexities. Superior negotiation acumen, analytical prowess, and problem‑solving skills, capable of distilling multifaceted legal, financial, and regulatory issues into strategic recommendations. Meticulous attention to detail, coupled with the ability to thrive under pressure in fast‑paced, deal‑intensive environments. Strong project management capabilities, including the ability to lead deals independently while coordinating multidisciplinary teams. Exceptional communication skills, both written and verbal, for articulating complex ideas to non‑legal stakeholders and drafting airtight legal documents.
