Responsibilities
  • Provide comprehensive legal advice on all aspects of intellectual property rights, including trademarks, patents, copyrights, and trade secrets.
  • Draft, review, and negotiate IP-related agreements such as licensing agreements, assignment agreements, and non-disclosure agreements.
  • Conduct IP due diligence for potential acquisitions, investments, or partnerships.
  • Manage and enforce the company's IP rights, including handling infringement claims and disputes both locally and globally.
  • Stay updated on relevant IP laws and regulations in Hong Kong and international jurisdictions relevant to the company's business operations.
Governance
  • Advise the company's senior management and board of directors on corporate governance matters, ensuring compliance with local and international corporate governance codes and regulations.
  • Assist in the development and implementation of corporate governance policies and procedures, including those related to board composition, director independence, and shareholder rights.
  • Review and provide legal input on board resolutions, minutes, and other corporate governance documentation.
  • Coordinate with internal stakeholders to ensure effective communication and implementation of corporate governance initiatives.
Compliance
  • Develop and maintain a robust compliance program to ensure the company's operations in Hong Kong are in full compliance with all relevant financial services laws, regulations, and industry standards.
  • Monitor and assess regulatory changes and their potential impact on the company's business, providing timely advice on necessary adaptations.
  • Manage internal investigations related to compliance issues and work with relevant authorities in case of regulatory inquiries or audits.
  • Liaise with external compliance consultants and industry associations to stay informed about best practices in the financial services compliance space.
Mergers and Acquisitions (M&A)
  • Provide end-to-end legal support for M&A transactions, from the initial deal screening and due diligence phase to the negotiation, execution, and post-deal integration.
  • Lead the legal due diligence process, identifying and assessing legal risks associated with target companies, including but not limited to corporate, regulatory, litigation, and contractual risks.
  • Draft, review, and negotiate M&A transaction documents such as share purchase agreements, asset purchase agreements, and merger agreements.
  • Coordinate with cross-functional teams including finance, tax, and operations to ensure seamless execution of M&A deals.
  • Handle regulatory approvals and filings required for M&A transactions in Hong Kong and other relevant jurisdictions.
Requirements
  • A law degree from a recognized university, with admission to practice law in Hong Kong. Additional qualifications or admission in other common law jurisdictions is a plus.
  • For IP specialization: 5-10 years of relevant legal experience in IP law, preferably with exposure to the financial services or technology sectors. Strong understanding of international IP treaties and cross-border IP issues.
  • For Governance specialization: 5-10 years of experience in corporate governance, with experience in advising financial institutions or publicly-listed companies. Knowledge of relevant stock exchange listing rules and regulations.
  • For Compliance specialization: 5-10 years of compliance or legal experience in the financial services industry. Familiarity with regulations such as SFC requirements, anti-money laundering (AML), and counter-financing of terrorism (CFT) regulations.
  • For M&A specialization: 5-10 years of experience in M&A transactions, with at least some experience in the financial services sector. Proven track record of successfully handling complex M&A deals.
  • Excellent legal research, analytical, and writing skills.
  • Strong communication and interpersonal skills, with the ability to effectively interact with senior management, internal teams, and external stakeholders.
  • Ability to work independently, manage multiple tasks simultaneously, and thrive in a fast-paced, dynamic work environment.
  • Fluency in English and Chinese (both written and spoken) is essential.
