Our client is A Leading Charitable Foundation and Related CompaniesResponsibilities:Handle full spectrum of company secretarial duties for a group of onshore and offshore companies in different jurisdictions.Organize corporate secretarial records in an orderly manner and establish a standardized system of maintenance of company secretarial documents.Prepare and update corporate structure chart and control lists of corporate information.Liaise with external parties, including corporate service agents, bankers, etc., to ensure compliance with statutory and regulatory filings, reporting and KYC requirements.Prepare board and shareholders’ meeting materials, minutes and resolutions.Assist in conducting board and shareholders’ meetings.Assist in formation and closure of companies and corporate restructuring transactions.Handle ad-hoc company secretarial projects as assigned.Requirements:Associate member of HKICS with a bachelor degree in relevant disciplines or equivalent.A minimum of 6 years of company secretarial experience in sizeable or listed companies preferable.Familiar with company secretarial practices for Hong Kong and offshore companies and well versed in corporate administration of overseas companies.Hands-on experience in preparing for and organizing board, committee and shareholders’ meetings.Good command of spoken and written English and Chinese.Excellent communication and presentation skills.Meticulous, mature and able to work independently.Interested parties, please send your CV in MS Word format with an indication on present and expected salary to Mr. Lee via email at alee@wwhcc.com, thanks
